These Terms and Conditions (“Terms”) govern access to and use of the Instage platform, including the
website, applications, services, and related features (collectively, the “Platform”).
By creating an account, accessing, or using Instage, you confirm that you have read, understood, and
agreed to be bound by these Terms.
1. DEFINITIONS
- “Instage” refers to the Instage platform, its owners, operators, and
affiliates.
- “User” refers to any person or entity using the Platform.
- “Service Provider” refers to artists, musicians, MCs, comedians, performers,
DJs, speakers, or any individual or entity offering performance or entertainment services.
- “Requester” refers to promoters, venues, event organizers, brands, individuals,
or entities requesting or booking services.
- “Booking” refers to an agreement formed through the Platform between a Service
Provider and a Requester.
- “Negotiation” refers to the process where Users propose and counter-propose
booking terms, including price and conditions.
- “Fees” refer to booking prices set by Service Providers and platform service
fees charged by Instage.
2. PLATFORM ROLE AND NATURE OF SERVICE
2.1 Instage is a technology platform only. Instage does not provide entertainment services, does not
employ Service Providers, and is not a party to any performance or event agreement.
2.2 Instage acts solely as an intermediary enabling discovery, negotiation, booking, and payment
facilitation between Users.
2.3 Any agreement formed through Instage is strictly between the Service Provider and the Requester.
3. ELIGIBILITY AND ACCOUNTS
3.1 Users must be at least 18 years old and legally capable of entering into binding agreements.
3.2 Users must provide accurate, complete, and current information when creating an account.
3.3 Users are responsible for maintaining the confidentiality of their account credentials and for
all activity conducted through their account.
4. SERVICE PROVIDERS (ARTISTS / PERFORMERS)
4.1 Service Providers operate as independent contractors and are not employees, agents, or
representatives of Instage.
4.2 Service Providers set their own booking fees, availability, and service terms.
4.3 Service Providers are solely responsible for delivering the agreed performance and ensuring
compliance with applicable laws and regulations.
5. REQUESTERS (PROMOTERS / VENUES / BOOKERS)
5.1 Requesters are responsible for providing accurate event information and ensuring a safe, lawful,
and suitable environment for the performance.
5.2 Requesters acknowledge that Instage does not guarantee performance quality, attendance, or event
outcomes.
6. NEGOTIATION AND BOOKINGS
6.1 All pricing and terms are freely negotiated between Service Providers and Requesters.
6.2 A Booking becomes binding once both parties accept the final terms within the Platform and
payment is successfully processed where applicable.
6.3 Instage is not responsible for agreements, changes, or communications conducted outside the
Platform.
7. PAYMENTS AND FEES
7.1 Instage facilitates payments through PayFast, South Africa’s leading and trusted
online payment gateway. PayFast provides secure, reliable, and compliant electronic payment
processing. By using the Platform, Users agree to PayFast’s applicable terms and acknowledge that
all payments are processed through PayFast’s secure infrastructure.
7.2 Service Providers authorize Instage to collect payments from Requesters, deduct applicable
platform service fees, and remit the remaining balance in accordance with the agreed booking terms.
7.3 Instage is not responsible for delays, failures, chargebacks, or errors caused by banks, payment
providers, or third-party systems.
8. CANCELLATIONS, NO-SHOWS, AND DISPUTES
8.1 Cancellation terms are agreed upon during the booking negotiation process.
8.2 In the event of a dispute, Users must first attempt to resolve the matter directly with each
other.
8.3 Instage may, at its discretion, review disputes but does not guarantee resolutions or outcomes.
9. USER CONDUCT
Users agree not to:
- misrepresent their identity or services,
- bypass the Platform to avoid fees,
- engage in unlawful, abusive, or fraudulent behavior,
- upload content that infringes on intellectual property rights or is offensive.
Instage may suspend or terminate accounts that violate these rules.
10. LIMITATION OF LIABILITY
10.1 Instage makes no guarantees regarding performance quality, event success, or financial outcomes.
10.2 To the fullest extent permitted by law, Instage shall not be liable for any indirect,
incidental, or consequential damages arising from use of the Platform or from disputes between
Users.
11. INDEMNIFICATION
Users agree to indemnify and hold harmless Instage from any claims, losses, damages, or expenses
arising from their use of the Platform, breach of these Terms, or violation of applicable law.
12. INTELLECTUAL PROPERTY
12.1 Users retain ownership of the content they upload.
12.2 By uploading content, Users grant Instage a non-exclusive, worldwide, royalty-free license to
use, display, and promote such content on the Platform.
13. SUSPENSION AND TERMINATION
Instage reserves the right to suspend or terminate any account, with or without notice, if a User
violates these Terms or poses legal, financial, or reputational risk to the Platform.
14. MODIFICATIONS TO TERMS
Instage may update these Terms at any time. Continued use of the Platform after changes are published
constitutes acceptance of the updated Terms.
15. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the Republic of South
Africa.
